MEMBERSHIP AND USER AGREEMENT

1. The Parties

This Membership Agreement (“Agreement”) is entered into between Modelli Mobilya Yatak SAN. TİC. LTD. ŞTİ. (hereinafter referred to as “ESKOZA” or the “Seller”) and the internet user who has registered as a member of the eskoza.com website or uses the site (“Member” or “User”).

2. Subject Matter of the Contract

The purpose of this Agreement is to define the terms under which the member may use thewebsite eskoza.com.tr, owned by ESKOZA, as well as the rights and obligations of the parties.

3. Rights and Obligations of the Parties

  • 3.1. The Memberdeclares and undertakes that the personal and other information provided upon registering on theeskoza.com.tr /eskoza.comwebsite is accurate under the law, and that the Member will fully and immediately compensate ESKOZA for any and all damages it may incur as a result of such information being false.

  • 3.2. The Member may not disclose the password they set upon registering on the site to any other person or entity; the right to use said password belongs solely to the Member. Accordingly, ESKOZA reserves the right to seek any and all compensation and other claims arising from such unauthorized use, and to defend against any and all liabilities that may arise as a result, as well as any claims or demands that may be brought against ESKOZA by third parties or authorized authorities.

  • 3.3. The Memberhereby agrees and undertakes to comply with the provisions of applicable laws and regulations while using theeskoza.com.tr /eskoza.comwebsite and not to violate them. Otherwise, the Member shall be fully and exclusively liable for all legal and criminal liabilities that may arise.

  • 3.4. Membersmay not use theeskoza.com.tr /eskoza.comwebsite in any way that disrupts public order, violates public morality, harasses or offends others, serves an unlawful purpose, or infringes upon the intellectual property or copyrights of others.

4. Termination of the Contract

This agreement shall remain in effect until the member cancels their membership or ESKOZA cancels the member’s membership. ESKOZA may unilaterally terminate this agreement by canceling the member’s membership in the event that the member breaches any provision of the membership agreement.

5. Competent Court

The courts and enforcement offices of Bursa shall have jurisdiction over any disputes arising from this agreement.

DISTANCE SALE AGREEMENT (E-Commerce Purchase Agreement)

Any person who makes a purchase on the Site and accepts this agreement during the payment process is deemed to be the “Buyer” or “Customer.” (The Buyer’s first name, last name, address, and contact information are as specified on the order form.)

2. Subject Matter and Scope of the Agreement

This Agreement governs the rights and obligations of the parties regarding the sale and delivery of the product—the specifications and sales price of which are set forth below—for which the Buyer placed an order electronically through the eskoza.com website owned by the Seller, in accordance with the provisions of Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts.

3. Product, Payment, and Delivery Information Covered by the Contract

The name, quantity, brand/model, color, number of units, sales price, payment method, and other details regarding the goods or services covered by the contract as of the order date will be automatically included by the system on the Buyer’s invoice and in the order confirmation email.

  • Shipping Address: This is the shipping address provided by the recipient at the time of the order.

4. General Provisions

  • 4.1. The Buyer declares that they have read and are aware of the preliminary information on the eskoza.com website regarding the essential characteristics of the product subject to the contract, the sales price, the payment method, and delivery, and that they have provided the necessary confirmation electronically.

     
  • 4.2. The product covered by this Agreement will be delivered to the Buyer or to the person or entity at the address designated by the Buyer within the timeframe specified in the preliminary information on the website, depending on the distance from the Buyer’s place of residence, provided that such timeframe does not exceed the statutory 30-day period.

  • 4.3. The Seller is responsible for ensuring that the product covered by the contract is delivered in good condition, complete, in accordance with the specifications stated in the order, and accompanied by any warranty documents and user manuals, if applicable.

  • 4.4. Delivery of the product is conditional upon this contract being approved electronically and the full purchase price being paid via the Buyer’s preferred payment method (iyzico).

5. Right of Withdrawal

  • 5.1. In distance sales contracts for goods, the Buyer has the right to withdraw from the contract by rejecting the goods within 14 (fourteen) days from the date of delivery of the product to the Buyer or to the person or entity at the address specified by the Buyer, without incurring any legal or criminal liability and without providing any justification.

  • 5.2. To exercise the right of withdrawal, written notice must be provided to the Seller at the email address specified above within this 14-day period, and the product must not have been used, in accordance with the provisions of Article 6 of this Agreement (Products for Which the Right of Withdrawal Cannot Be Exercised).

  • 5.3. If the right of withdrawal is exercised, the product delivered to a third party or to the Buyer must be returned to the Seller along with the invoice. The product price will be refunded to the Buyer’s payment card (via the iyzico system) within 14 days of receipt of the return request.

6. Products for Which the Right of Withdrawal Cannot Be Exercised

In accordance with the relevant regulations, returns will not be accepted for goods that were prepared in accordance with the Buyer’s requests or personal needs; goods that, by their nature, are not suitable for return; goods at risk of rapid spoilage or with an expiring shelf life; and goods for which protective elements such as packaging, tape, seals, or wrappers have been opened after delivery—provided that such returns are not appropriate from a health and hygiene perspective.

7. Competent Court

For the purposes of this agreement, the Consumer Arbitration Boards and the Consumer Courts in the place of residence of the Buyer or the Seller have jurisdiction up to the value announced by the Ministry of Customs and Trade.

 

If the order is fulfilled, the Buyer shall be deemed to have accepted all the terms of this agreement.
